智通财经APP获悉，3月4日，香港联合交易所有限公司发布对MI能源控股有限公司(01555)及一名现任董事的纪律行动，批评MI能源控股有限公司及谴责非执行董事兼主席张瑞霖，同时进一步指令张瑞霖须完成培训。
香港联合交易所有限公司称，于2016年至2021年间，张瑞霖因拖欠私人贷款未还，贷款人向他和该公司一家附属公司提起诉讼，其后张瑞霖让该附属公司为其贷款提供担保。涉及附属公司的有关担保及其后的和解协议均构成须予公布的关联交易，但该公司未遵守《上市规则》第十四章及第十四A章的规定。
由于张先生未有适时向该公司董事会(董事会)汇报有关事宜及交易，该公司亦违反《上市规则》。尽管张先生将有关事宜交由该公司一名内部中国法律顾问处理，但他未有与该人员作出跟进，以确保有关事宜及交易已根据该公司内部监控程序及《上市规则》适当及适时地向董事会汇报及予以处理。有关事宜直至2023年1月才被该公司前任核数师揭发。
该公司及张先生同意以和解方式处理这次纪律行动。他们没有就其各自的违规事项提出抗辩，并接受上市委员会向他们作出的制裁及指令。
