格隆汇3月4日丨中国金茂(00817.HK)发布公告，于2025年3月4日，西安顺茂（公司间接全资附属公司）与嘉兴唐茂及西安长茂签署股权转让协议，据此，西安顺茂同意收购而嘉兴唐茂同意出售西安长茂49%的股权，总对价约为人民币1,686.74百万元。
西安长茂成立于2022年9月6日，截至本公告之日，西安长茂的注册资本为人民币1,080百万元，由西安顺茂及嘉兴唐茂分别持有其51%及49%的股权。于本次交易完成后，西安长茂将成为公司的间接全资附属公司。西安长茂从事该项目的开发。该项目位于中国陕西省西安市未央区。该项目占地约66,667平方米，已开发为可售住宅项目，计容建筑面积共计约166,667平方米。预计将于2026年1月竣工。
嘉兴唐茂因其自身原因拟出售其持有的西安长茂股权。于本次交易前，西安长茂为公司的间接非全资附属公司，其日常经营管理及该项目的开发均由集团主导负责。通过本次交易，西安长茂将成为公司的间接全资附属公司，这可确保该项目成功收尾，相关各项事宜顺利完成。
