智通财经APP讯，安科系统(08353)及要约人Management Reports International Pte Ltd联合公布，于2025年3月3日(交易时段前)，要约人请求董事会向计划股东及购股权持有人提呈该建议，涉及：要约人建议根据《公司法》第210条，以该计划方式透过建议收购所有计划股份将公司私有化;及根据收购守则规则13作出购股权要约，该购股权要约将于该计划根据其条款生效后，方可作实。每股计划股份计划对价1.10港元，较股份于2025年2月28日(即最后交易日)在联交所所报的收市价每股0.80港元溢价约37.5%。
于该计划生效后，要约人将直接持有100%股份，且股份于联交所GEM的上市地位将被撤销。
此外，公司已向联交所申请复牌，于2025年3月4日上午九时正起恢复股份于联交所的买卖。
据悉，要约人于1997年10月2日在新加坡注册成立，为MRI的全资子公司，主要从事房地产软件业务。MRI为房地产软件应用及托管解决方案全球供应商。MRI的专用软件有助于解决商业和住宅房地产管理运营商、房地产销售和租赁代理公司、房地产投资管理公司和设施管理公司所面临的独特运营挑战及财务会计要求。
