智通财经APP获悉，中国天化工(00362)盘中跌逾25%，截至发稿，跌25%，报0.021港元，成交额61.18万港元。该公司总市值低于3000万港元。
消息面上，3月3日，中国天化工发布公告，董事会建议实行资本重组，涉及股份合并，每40股现有股份将合并为1股合并股份；资本削减，本公司已发行股本将透过以下方式削减：
注销本公司已发行股本中合并股份的任何零碎股份，从而将本公司已发行股本中合并股份总数向下凑整至最接近整数；及以每股当时已发行合并股份3.9港元为限注销本公司的缴足股本以将每股已发行合并股份的面值由4.0港元削减至0.1港元；股份分拆，每股法定但未发行合并股份将分拆为40股每股面值0.1港元的经调整股份；股份溢价削减，股份溢价账进账总额将削减为零；及将资本削减及股份溢价削减所产生之所有进账款项转拨至本公司的实缴盈余账(定义见公司法)，有关款项将用于抵销本公司的累计亏损，或将按本公司细则及百慕达的所有适用法律，由董事会不时以任何其他方式动用，而毋须再获得股东授权。
待资本重组生效后，董事会建议以每股供股股份0.92港元的认购价按于记录日期合资格股东每持有1股经调整股份获发2股供股股份之基准进行供股，以供股方式发行6757.74万股供股股份，筹集最多约6220万港元的所得款项总额(扣除开支前)(假设本公司股本于记录日期或之前并无变动)。供股所得款项净额(经扣除估计开支后)估计为不多于约5990万港元。
