中国金茂收购西安长茂49%股权签署股权转让协议
3月4日，中国金茂（00817）发布公告，2025年3月4日，公司间接全资附属公司西安顺茂与嘉兴唐茂及西安长茂签署股权转让协议，西安顺茂同意收购西安长茂49%的股权，交易总对价约为16.87亿元。此交易完成后，西安长茂将成为公司的间接全资附属公司。
在此次交易前，西安长茂由西安顺茂持有51%的股权，嘉兴唐茂持有49%的股权。根据独立评估机构的资产基础法评估，西安长茂截至2024年9月30日的净资产评估值为34.42亿元。西安长茂的财务状况显示，截至2023年12月31日的税前利润为870万元，而截至2024年12月31日则出现税前亏损2761万元。此次交易被认定为须予披露交易，因其最高适用百分比率超过5%但低于25%。
