珠江船务与中南钢铁签署合资协议成立合营公司
3月3日，珠江船务（00560）发布公告，董事会宣布于2025年3月3日与合营伙伴宝武集团中南钢铁有限公司签署合资协议，成立合营公司。合营公司的注册资本为3.4亿元，其中本公司出资1.67亿元，占49%股权，合营伙伴出资1.73亿元，占51%股权。合营公司将主要在韶关市投资开发龙头寨码头，涉及铁矿石、钢铁和矿建材料的综合物流业务。
根据公告，成立合营公司的适用最高百分比率超过5%但低于25%，因此构成本公司一项须予披露交易，并需遵守相关上市规则，但获得豁免无需独立股东批准。合营公司的管理将由五名董事组成，其中三名由合营伙伴提名，两个由本公司提名，合营公司的投资将按权益法在本公司财务报表中入账。此次合作预计将加强本公司在北江流域的港口布局，提升整体竞争力。
