智通财经APP讯，光弘科技(300735.SZ)披露重大资产购买预案，公司拟通过支付现金的方式向 Hiwinglux S.A. 和 IEE International Electronics & Engineering S.A.等2 名交易对方购买All Circuits S.A.S.(简称“AC公司”)100%股权和 TIS Circuits SARL (简称“TIS 公司”)0.003%股权。
本次交易中，标的资产在北京产权交易所公开挂牌转让。根据北京产权交易所挂牌转让信息，AC公司100%股权转让底价为7.33亿元，AC公司之子公司TIS公司0.003%股权转让底价为0.0001万元。
根据公告，AC公司主要从事电子制造服务业务，其业务主要聚焦于汽车电子领域，并在电气、家电和医疗器械等制造业领域具有一定业务规模，主要为客户提供电子控制模块、电子产品制造及零配件组装服务。TIS公司作为AC公司的子公司，主要负责公司在突尼斯的生产基地运营工作，并作为重要生产基地为公司欧、美、非等地客户提供相关服务。
公告称，上市公司通过本次收购将推进公司在汽车电子领域的业务布局，强化在汽车电子领域的业务覆盖，提升自身在汽车电子领域的综合实力。同时，本次收购也是推进全球化产业布局的重要一步，有助于完善公司产业布局，扩大公司在欧洲、美洲、非洲等地的业务规模，提升公司服务全球客户的能力。
