2025年3月2日，福建南方制药股份有限公司发布关于预计 2025 年日常性关联交易的公告。预计 2025 年日常性关联交易金额达 40,500,000 元，2024 年与关联方实际发生金额为 21,828,609.20 元。
在预计的关联交易中，包括向明溪县首创生物有限责任公司采购红豆杉原料，金额不超过 5,000,000 元，2024 年该部分实际发生金额为 3,370,900.00 元。同时向四川汇宇制药股份有限公司、上海熙华检测技术服务股份有限公司、上海安必生制药技术有限公司等关联方销售原料药及医药中间体等，以及向明溪县首创生物有限责任公司销售红豆杉苗木。
关联方中，四川汇宇制药股份有限公司持有公司股份 2,500 万股，占公司总股本 12.9995%；上海熙华检测技术服务股份有限公司持有公司股份 2,000 万股，占公司总股本 10.3996%；上海安必生制药技术有限公司持有公司股份 1,000 万股，占公司总股本 5.1998%；明溪县首创生物有限责任公司为公司同一实际控制人控制的企业。
2025 年 2 月 27 日，公司第七届董事会第二次会议审议了相关议案。上述议案还需提交公司 2025 年第一次临时股东会审议。
