<汇港通讯> 百度集团(09888)宣布，拟于美国境外以离岸交易方式，向非美国人士发行本金总额不超过20亿美元的2032年到期可交换债券。
该等债券将参考携程集团(09961)于香港联交所上市的普通股。该等债券持有人不得于该等债券发行日一周年之前交换其该等债券，发生违约事件者除外。自发行日期起一周年至该等债券到期日前6个月期间，该等债券持有人仅于满足若干或有事项后方可将该等债券交换为现金。此后及直至到期日前第2个计划交易日，持有人可随时将该等债券交换为现金。于满足若干条件的情况下，公司可选择以公司持有的携程股份代替现金交付或以现金及携程股份结合的方式交付。该等债券不可交换为携程集团的美国存托股(纳斯达克：TCOM)。该等债券的交换率及其他条款尚未最终确定，且将在债券发行定价时确定。
公司有意将该等债券发行所得款项净额用作偿还若干现有债务、支付利息及一般公司用途。 (ST)
