百度计划发行本金总额不超过20亿美元的可交换债券，债券可交换为携程的香港上市普通股。

　　总部位于北京的百度周五发布声明称，可交换债券将于2032年到期。该公司表示，计划将所得款项净额用于偿还若干现有债务、支付利息及一般公司用途。

　　根据看到的交易文件，债券的票面利率为零。

　　文件显示，摩根大通、摩根士丹利、高盛集团和美国银行正在安排这笔交易。
