格隆汇3月6日丨高鑫零售(06808.HK)发布公告，诚如董事变更公告所披露，秦跃红已辞任公司非执行董事以及审核委员会、提名委员会及薪酬委员会成员；及韩鎏已辞任非执行董事，自2025年2月27日(即买卖协议交割日期)起生效。
于寄发及刊发综合文件后：(i)黄明端已辞任董事会主席一职，惟将留任公司非执行董事以及提名委员会及薪酬委员会成员，直至于首个截止日期刊发交割公告为止，以符合收购守则规则7的规定及履行其作为独立董事委员会成员的职责。黄先生辞任公司非执行董事以及提名委员会及薪酬委员会成员将仅于首个截止日期刊发交割公告后生效；(ii)华裕能已获委任为公司董事会主席、非执行董事及薪酬委员会成员；及(iii)王冠男已获委任为公司非执行董事及提名委员会成员。
