智通财经APP讯，中国建材(03323)公布，有关摩根士丹利亚洲有限公司代表公司提出有条件现金要约按每股H股4.03港元回购最多约8.42亿股H股，要约已于最后接纳时限(即2025年3月5日(星期三)下午四时正)截止。于最后接纳时限，过户登记处已接获接纳股东根据要约就合共约17.65亿股H股提出的有效接纳，占公司根据要约将予回购的最高数目约209.69%，及于本公告日期已发行股份总数约20.93%及已发行H股总数约38.72%。
由于根据要约提交的H股超过最高数目，公司将根据要约文件所载公式厘定向每名接纳股东回购的H股总数。合共约8.42亿股H股(即最高数目)将于要约(预期于2025年3月14日(星期五)或之前)完成时由公司回购并注销。公司根据要约回购上述H股应付的总代价为约33.92亿港元。
紧随要约完成后，中国建材母公司一致行动集团于已发行股份的总权益将由约45.02% 增至约50.01%。
