复星旅游文化私有化提案获高票通过，本月或将正式退市
【环球网财经综合报道】近日，港股上市公司复星旅游文化（股票代码：HK01992）发布公告，公司私有化提案在股东大会上以超过99%的高支持率获得通过。公告显示，公司或将于3月19日正式从港股市场退市。
根据公告内容，复星旅游文化考虑将旗下标志性的三亚亚特兰蒂斯酒店进行REIT上市，目前该计划尚处于初步研究阶段。三亚亚特兰蒂斯作为复星旅文的核心资产，自2018年由复星集团投资110亿元打造以来，一直为公司贡献着稳定的营收。
复星旅游文化此次私有化退市的决定，源于股价长期低迷和流动性不高等多重困境。公司在公告中称，私有化后将加速轻资产转型，以提升运营效率和市场竞争力。2024年12月，复星旅游文化就已宣布计划私有化退市，并提出以每股7.8港元回购股份，该价格相较停牌前的股价溢价95%。
复星旅游文化自成立以来，一直是全球旅游和度假产业的佼佼者。旗下拥有包括“Club Med”度假村和“亚特兰蒂斯”等在内的多个知名品牌。然而，近年来公司业绩起伏不定，2020年至2022年累计亏损超过58亿元。2023年公司成功扭亏为盈，实现归母净利润3.1亿元。2024年上半年，公司营收达94.1亿元，但归母净利润同比下降超过30%。（得利）
