爱帝宫(00286.HK) 公布，收到有关朱昱霏对公司全资子公司广东万佳提出之仲裁，寻求解决她与广东万佳之间关于在深圳爱帝宫行使股东权利的分歧。公司收到与仲裁有关的文件，包括一份所谓的委托协议副本。根据该协议，广东万佳被指不可撤销地将其在深圳爱帝宫94.95%股权所涉及的全部股东权利委托给朱昱霏。
公司强调，该委托安排并未通知、授权或经董事会批准，且缺乏商业合理性。公司正在就仲裁事宜向其内地法律顾问取得法律意见。广东万佳已聘请法律顾问代表其在仲裁中进行辩护并提交相应的证据。
在仲裁结果出炉之前，广东万佳持有的深圳爱帝宫约727万元人民币(相当于深圳爱帝宫已缴股本约15.5%)的股权已被相关部门下令进行临时资产保全。截至目前，尚未就仲裁安排聆讯。
由于深圳爱帝宫的现场审计遇到困难，公司去年度审计计划及年度业绩可能将延迟，无法在今年3月底前完成。
