Scalare Partners Holdings (ASX:SCP) is acquiring Inhouse Ventures, a platform for scalable technology startups, according to a Wednesday filing with the Australian bourse.
The transaction consideration comprises AU$233,331 in cash, ordinary shares worth nearly AU$1.1 million, and AU$433,331 in deferred payments, subject to certain revenue milestones.
Scalare Partners already owns a 20.7% stake in Inhouse Ventures following its investment in November 2023. Through its takeover of the company, Scalare Partners hopes to expand its services by offering a platform where founders can connect with investors to build, scale, and fundraise, the filing said.
The acquisition is expected to be EBITDA and cash flow positive, per the filing.
Completion is within five days, subject to customary conditions.
