Alkami Technology (ALKT) said Monday it plans to offer $300 million of convertible senior notes due 2030 in a private offering.
Initial purchasers are also expected to be granted a 13-day option to purchase up to an additional $45 million of the notes.
The interest rate, initial conversion rate and other terms of the notes will be determined at the pricing of the offering.
Meanwhile, Alkami said it plans to enter into privately negotiated capped call transactions with one or more of the initial purchasers or their affiliates and/or one or more other financial institutions.
Alkami said it plans to use a portion of the net proceeds from the offering to fund the cost of entering into the capped call transactions, with the remaining proceeds to be used to fund its pending acquisition of Fin Technologies.
