　　新特能源（01799）发布公告，于2025年3月7日，新疆天池及本公司附属公司硅基新材料、新疆新能源分别与盛裕公司及盛鼎公司订立股权转让及增资协议，硅基新材料及新疆新能源同意转让其各自持有的盛裕公司的12.50%股权予新疆天池，对价均为人民币4674.56万元；硅基新材料及新疆新能源同意转让其各自持有的盛鼎公司的12.50%股权予新疆天池，对价均为人民币2.41万元；及新疆天池同意向盛裕公司增资约人民币2.1亿元，向盛鼎公司增资人民币 3.88亿元，作为目标公司的新增注册资本。股权转让及增资事项完成后，硅基新材料、新疆新能源及新疆天池将分别持有目标公司各自40%、20%及 40%的股权，且目标公司将仍为本公司的非全资附属公司。
