　　百度集团-SW（09888）发布公告，宣布其本金总额为20亿美元的于2032年到期的可交换债券的定价。该等债券预计将于法兰克福证券交易所公开市场板块上市。

　　于满足若干条件的情况下，该公司可选择以公司持有的携程股份代替现金交付或以现金及携程股份结合的方式交付。该等债券不可交换为携程集团有限公司（纳斯达克：TCOM）的美国存托股。

　　该等债券的初始交换率将为该等债券每10万美元本金交换1，107.0457股携程股份（相等于每股携程股份约702.13港元的初始交换价，较下述对冲配售中的每股价格（每股携程股份491.00港元）的交换溢价约43%）。初始交换率代表该等债券所提及的截至发行日的交换财产，该等交换财产将根据该等债券所载条款进行调整。

　　该等债券固定利息为零，且该等债券的本金将不会增值。除非于2032年3月12日前根据该等债券的条款回购、赎回或交换，否则该等债券将于当日到期。该等债券持有人可要求公司于2029年3月12日以现金回购全部或部分彼等的该等债券，回购价相等于将予回购的该等债券本金金额的100%。此外，公司可根据若干条件赎回该等债券。

　　公告称，公司有意将债券发行所得款项净额用作偿还若干现有债务、支付利息及一般公司用途。
