齐鲁高速与山高能源签署投资合作协议 成立合营公司
3月14日，齐鲁高速（01576）发布公告，2025年3月14日，山高能源发展与公司签订了投资合作协议，成立合营公司，认缴出资总额为1.1亿元。
其中，山高能源发展认缴出资5610万元，占股51%；公司认缴出资5390万元，占股49%。合营公司将主要投资于位于威海的200MW/400兆瓦时储能项目，旨在支持可再生能源的稳定利用。
根据公告，山高能源发展为山东高速集团的全资附属公司，山东高速集团通过其附属公司间接持有公司约38.93%的已发行股份。因此，该投资合作协议构成了上市规则下的关联交易，适用相关申报及公告规定，但获豁免独立股东批准的要求。此次合作将有助于公司在储能产业的进一步发展，同时借助合营公司平台，实现资源的有效整合和项目的高效运营。
