SoftBank Group Acquires Ampere Computing for $6.5 Billion

SoftBank Group (TYO:9984) has agreed to acquire US-based semiconductor design company Ampere Computing Holdings for $6.5 billion through its subsidiary, Silver Bands 6 (US) Corp, according to a Thursday Tokyo bourse filing.

The transaction, pending regulatory approvals, including US antitrust clearance and CFIUS approval, is expected to close in the latter half of 2025.

Upon completion, Ampere will become a wholly owned subsidiary of SBG.

The transaction will be executed by acquiring equity interests in Ampere's holding entities, followed by a reverse triangular merger.

Financing will be supported by Mizuho Bank, among other institutions. SoftBank Group has obtained a fairness opinion from Raine Securities LLC, confirming the financial fairness of the purchase price.

Ampere, known for its high-performance, energy-efficient processors for cloud computing and AI workloads, will strengthen SoftBank Group's strategic focus on AI and compute innovation.

The acquisition aligns with SoftBank Group's vision to integrate Ampere's ARM-based chip expertise with its broader ecosystem, including Arm Holdings, to drive long-term growth.
