智通财经APP讯，名创优品(09896)发布公告，于2025年3月28日，本公司已订立总回购金额不超过约18亿港元的股份回购协议，包括不超过9亿港元的自动股份回购计划，在香港联合交易所有限公司(香港联交所)回购股份(香港回购计划)，以及根据美国《1934年证券交易法》第 10b5-1条规定，在纽约证券交易所(纽约证交所)回购美国存托股份，金额不超过约1.15亿美元(第10b5-1条回购计划，连同香港回购计划合称“股份回购计划”)，两者均将纳入回购授权内。
根据本公司与一名独立经纪人里昂证券有限公司(经纪人)于2025年3月28日订立的股份回购协议(香港回购协议)，经纪人须根据香港回购协议所载的预设参数(包括回购价、每个交易日的回购数量、交易量上限等)，在香港联交所以不超过9亿港元回购股份。根据香港回购计划进行的回购将透过公开市场及香港联交所的设施进行。除非根据其条款终止，否则香港回购协议的期限将由2025年3月31日起至2026年4月1日止。
同日，本公司亦订立一项独立的第10b5-1条回购计划，透过指定的独立经纪人，向经纪人发出不可撤销的非酌情交易指示，在纽约证券交易所回购其美国存托股份，金额不超过约1.15亿美元，以符合美国《1934年证券交易法》项下第 10b5-1(c)(1)(i)条及第10b-18条(在适用范围内)的规定。除非依据其条款终止，否则第10b5-1条回购计划的期限将自2025年3月28日起至2026年4月1日止。
