智通财经APP讯，中国秦发(00866)发布公告，于2025年3月28日(交易时段后)，该等卖方与该等买方天际能源投资有限公司及香港秦发贸易有限公司(公司全资附属公司)订立该等买卖协议，据此，卖方1PT Cakrawala Karya Energi已同意出售，而买方1已同意购买目标公司PT Widyanusa Mandiri 99%的股权，总现金代价为1402.1亿印尼盾(相当于约850万美元);及卖方2Asrullah S已同意出售，而买方2已同意购买目标公司1%的股权，总现金代价为5000万印尼盾(相当于约3000美元)。于完成后，公司将通过该等买方拥有目标公司100%的股权。
公告称，董事已仔细考虑目标公司及SDE的现时营商环境及未来前景。彼等认为，该等收购事项为加强集团对SDE的控制提供独特机会，而SDE15%的可销售煤炭权将为集团投资组合中的战略资产。此将可令集团更有效分配资源及管理成本，从而巩固集团于煤炭开采行业的地位，并提升集团的营运效率、整体表现及盈利能力。SDE15%的可销售煤炭权应占预期未来经济利益将有可能流向集团。
