智通财经APP讯，长飞光纤光缆(06869)发布公告，于2025年3月28日，公司(作为买方)、Ot-Las(El.En.控制的附属公司，作为卖方)及El.En.(作为担保人)订立股份购买协议，据此，公司已有条件同意购买而Ot-Las已有条件同意出售共计2869.83万股奔腾激光(作为目标公司)股份，占奔腾激光紧随建议收购事项完成后的股本总额约59.1837%，对价为现金人民币2.4亿元(奔腾激光转让事项);及El.En.同意作为次责任人就Ot-Las根据交易文件适当及依时履行所有责任提供担保，该等交易文件包括但不限于股份购买协议及奔腾激光股东协议。
奔腾激光主要从事制造及向国内外客户销售激光切割机。
于奔腾激光转让事项完成后，公司将持有奔腾激光共计59.1837%的股权，故奔腾激光将成为公司的非全资附属公司。因此，建议奔腾激光转让事项将导致奔腾激光的财务业绩合并计入公司的综合财务报表。
