智通财经APP讯，中国育儿网络(01736)发布公告，于2025年4月1日，卖方星际集团有限公司(公司的间接全资附属公司)与买方吴金凤订立协议，卖方同意出售，且买方同意购买现有外商独资企业的股权，代价为人民币50万元。
股权指现有外商独资企业(硅柏(南京)信息技术有限公司)注册资本中的全部股权。鉴于现有外商独资企业与南京芯创订立的南京芯创结构性合约，南京芯创实际上亦将根据出售事项予以出售。因此，于完成后，集团将不再拥有现有外商独资企业及南京芯创的任何权益，现有外商独资企业及南京芯创将不再作为集团的附属公司入账。
公告称，现有外商独资企业主要提供线下产品销售及技术开发服务，供集团内部使用及支援集团的业务营运。于完成后，新外商独资企业将取代现有外商独资企业为集团提供该等服务。考虑到财务表现并审阅现有外商独资企业的业务及营运状况后，公司认为出售事项将(i)不会影响集团的业务营运;(ii)加强集团的现金流量及(iii)令集团改善其流动性，塬因为出售事项所得款项净额将用作集团的一般营运资金。因此，董事认为出售事项的条款属公平合理且符合股东的整体利益。
