上证报中国证券网讯 4月3日晚，天地科技发布公告，公布中信建投证券关于天地科技分拆所属子公司天玛智控至科创板上市2024年持续督导核查意见暨持续督导总结报告。

2022年6月22日，天玛智控收到上交所出具的《关于受理北京天玛智控科技股份有限公司首次公开发行股票并在科创板上市申请的通知》；2022年11月23日，天玛智控通过上交所上市委会议审议；2023年6月5日，天玛智控于上交所科创板上市。

2024年，天地科技实现营业收入305.27亿元，同比增长2%；归属于上市公司股东的净利润26.22亿元，同比增长11.17%；总资产572.62亿元，同比增长7.57%，归属于上市公司股东的净资产244.28亿元，同比增长6.48%。分拆上市后，公司仍直接持有天玛智控24,480.00万股股份，占天玛智控总股本的56.54%，公司仍是天玛智控的直接控股股东，天玛智控仍纳入合并财务报表，公司可继续从天玛智控的未来业务增长中获益；同时，公司分拆上市后进一步拓宽了融资渠道，提高了上市公司整体融资效率，增强了上市公司的综合实力。

天地科技分拆所属子公司天玛智控上市后，继续保持了独立性，也未因本次分拆影响其持续经营能力。截至本持续督导报告出具之日，中信建投证券对天地科技分拆所属子公司天玛智控至科创板上市的持续督导期限已届满。
