智通财经APP讯，紫元元(08223)发布公告，于2025年4月1日，公司与认购人Dansey P2 Limited订立可换股债券认购协议，据此，公司同意发行而认购人同意以可换股债券本金额的100%发行价认购本金总额为1000万港元的可换股债券。
假设可换股债券所附带的换股权获悉数行使，初始换股价为每股换股股份1.51港元，则公司将配发及发行最多662.25万股新股份，占本公告日期已发行股份总数约1.54%;及假设于本公告日期至可换股债券悉数换股期间及已发行2025年3月可换股债券全部换股期间公司已发行股本未有其他变动，经发行662.25万股换股股份扩大后，已发行股份总数约1.45%。
本次可换股债券认购事项的所得款项净额约为950万港元。公司拟将所得款项净额用于收购及/或发展新项目、偿还短期贷款及作为集团的一般营运资金。
