智通财经APP讯，金石控股集团(01943)及要约人嘉能时代国际贸易有限公司联合公布，要约人已完成向Central Force Premium Group Limited收购公司已发行股本75%，代价为6000万港元，相等于每股销售股份0.08港元。
紧随交割后及于本联合公告日期，要约人、其最终实益拥有人及彼等任何一方的一致行动人士拥有7.5亿股股份之权益，占公司已发行股本总额75%。因此，根据收购守则规则26.1，要约人须就全部已发行股份(要约人及其一致行动人士已拥有或同意收购者除外)提出强制性无条件现金要约。要约将向独立股东提出。每股要约股份现金0.08港元 ，较2025年3月19日在联交所所报的收市价每股0.098 港元折让约18.37%。
倘要约获全面接纳，要约的总代价将为2000万港元。公司已向联交所申请由2025年4月3日上午九时正起恢复股份在联交所买卖。
据悉，要约人于香港注册成立为有限公司，从事提供进出口贸易、批发及销售电子产品、销售电子零件及代理销售记忆体芯片。要约人的唯一董事为唐静菁女士。要约人分别由曾婧雯女士及唐静菁女士直接拥有95%及5%权益。
