智通财经APP讯，北京能源国际$(00686)$发布公告，有关(其中包括)收购项目控股公司，其构成本公司一项非常重大收购事项。根据买卖协议，交割须待(其中包括)澳洲外国投资审查委员会根据《一九七五年澳洲外国收购与接管法》批准收购事项后方可作实。截至本公告日期，该条件未获达成。
于2025年4月1日，买卖协议的订约方与卖方一间关联实体(订约方)订立终止及解除契约(该契约)，订约方已同意买卖协议及该契约所指的附带交易文件(统称“交易文件”)各自应自该契约日期起即时终止。
鉴于有关终止，除该契约项下的保密义务外，订约方不再拥有有关交易文件项下与于任何时间进行的任何行为、事项或不作为，且由交易文件产生或与其相关的任何权利、义务或责任。截至本公告日期，本公司与买方并无根据交易文件支付任何大额款项(包括交割金额)。
董事会认为，终止将不会对本集团的业务及营运构成任何重大影响，并将令本集团能够维持灵活的财务状况。
