智通财经APP讯，兖矿能源(01171)公布，于2025年4月8日，该公司与卖方(淄矿集团、龙矿集团、新矿集团及肥城煤业)及西北矿业订立协议，该公司将向卖方收购西北矿业合计26%股权，代价为约人民币47.48亿元。此外，该公司同意将以现金方式向西北矿业增资约人民币93.176亿元。
本次交易交割后，该公司将持有西北矿业51%的股权，而西北矿业将成为公司的附属公司，其财务业绩将并入该集团。
本次交易完成后，该公司煤炭资源量、煤炭储量和商品煤产量均得到大幅提升，经营能力将持续增强。根据独立估值师出具的相关矿业权评估报告，本次交易完成后，公司评估利用口径资源量增加约63.52亿吨，可采储量增加约36.52亿吨，商品煤产量增加约3,000万吨。
西北矿业是山东能源在西部的区域总部，承担陕西、甘肃、山西、内蒙古部分区域的煤炭业务运营等职能。西北矿业股权、矿权资产权属清晰，运营规范。通过本次交易进行煤炭资产注入，有利于减少公司与山东能源之间的同业竞争，促进规范运营。
