联交所谴责领地控股(06999.HK) 及该公司执行董事、主席及首席执行官刘玉辉，进一步指令他须于90天内完成20小时有关监管及法律议题及《上市规则》合规事宜的培训，当中包括以下内容各至少3小时：董事职责；《企业管治守则》；及《上市规则》第2.13 条及第13章的规定。
联交所指，于2022年5月19日交易时段内，一名股票经纪强制出售刘玉辉透过其私人公司实益拥有的该公司约1%股份。 于关键时间，刘玉辉委派其私人助理与该股票经纪联络。该股票经纪已事先通知该私人助理有关强制出售一事，并于完成强制出售后随即向其私人公司发出确认信。 交易时段结束时，该公司股价下跌约84%。
上市委员会裁定该公司该公司违反《上市规则》第2.12A、2.12B、2.13(2)及13.10条。 该公司未有因应联交所的查询披露强制出售事项。其回应不准确、不完备或具误导性。 其公告亦未有披露强制出售事项，当中具误导性地表示董事会已就相关事宜作出一切合理查询，但事实上他们并没有这样做。
公告中亦表示没有控股股东抵押该公司股份，但事实上被强制出售的股份其实已根据相关保证金账户的条款及条件被抵押予股票经纪。该公司在得知其较早前向公众及联交所披露的资料不准确、不完备或具误导性后，本应立即刊发公告及通知联交所以更正有关资料，但该公司没有这样做。 (ha/u)(港股报价延迟最少十五分钟。)
