意法半导体监事会主席Nicolas Dufourcq表示，该公司监事会的三名独立成员否决了意大利人马塞洛·萨拉（Marcello Sala）进入这家意法芯片制造商董事会的任命，否决了法国成员的支持。

意大利和法国政府通过一家控股公司共持有意法半导体27.5%的股份。

Nicolas Dufourcq表示，独立成员集体拥有否决权，“我们必须尊重非意法半导体指定的董事会成员的决定。”

意大利提名Marcello Sala担任意法半导体董事，Marcello Sala是意大利经济部负责管理国有企业和资产处置的部门负责人。

作为意大利经济部长Giancarlo Giorgetti的亲密助手，Marcello Sala在帮助政府处理一些最棘手的企业问题方面发挥了关键作用。

另外，意大利政府宣布撤回对意法半导体CEO Jean-Marc Chery的支持，理由是其“表现不佳”，希望法国方面支持更换他。

意法半导体于2024年遭到美国股东的集体诉讼，该诉讼指控意法半导体领导人在2024年1月25日至7月24日期间未能准确披露公司业务恶化，从而误导投资者。据美国监管机构报告，Jean-Marc Chery和其他内部人士在此期间出售了股票。（校对/赵月）
