智通财经APP讯，JBB BUILDERS(01903)发布公告，董事会就有关情况下的本公司作出一切合理查询后确认，除下文所披露者外，董事会并不知悉导致价格或交易量变动的任何其他原因，或任何必须公布以避免本公司证券出现虚假市场的资料，或任何根据证券及期货条例须披露的内幕信息。本公司亦确认，本公司及其附属公司的业务经营及财务状况未有任何重大变动。
根据证券及期货条例，本公司非执行董事拿汀Ngooi Leng Swee(拿汀Ngooi)实益拥有 JBB Berlian Investment Limited的100%股本，并被视为于JBB Berlian Investment Limited持有的1.61亿股股份中拥有权益，于本公告日期，占本公司全部已发行股本的32.25%。根据日期为2018年5月16日的确认契据，拿督黄世标(拿督黄)及拿汀Ngooi为一致行动人士(具有证券及期货事务监察委员会颁布的公司收购、合并及股份回购守则所赋予的涵义)。因此，拿督黄及拿汀Ngooi将共同控制本公司全部已发行股本约71.10%。
本公司获拿汀Ngooi告知，JBB Berlian Investment Limited已与一名配售代理订立配售协议，配售代理将促使承配人认购合共最多1亿股现有股份，占本公司于本公告日期全部已发行本约20%(配售事项)。于本公告日期，配售事项尚未完成。
