金吾财讯 | 现代中药集团(01643)公告，于2025年4月8日（交易时段后），拟以现金3240万港元配发及发行合共1.2亿股认购股份股配售股份，予大健康（全球）投资基金管理有限公司（认购人），占扩大后已发行股份总数的约16.67%。每股配售价0.27港元，较上交易日收市价0.26港元溢价约3.85%。
预期认购事项的所得款项总额及净额预期将为3240万港元。公司拟将有关所得款项净额用作进一步投资及业务发展：约50%将用于与中医药相关的新业务机会，包括投资中医药制造厂商；以及所得款项净额中的约50%将用于为持续提升研发能力提供额外资金。
认购人是一间于英属处女群岛注册成立的有限公司，其主要业务是投资具有全球视野的优质资产。认购人的最终实益拥有人为陈笑妍女士（金东涛先生的配偶），彼曾投资多家公司，拥有丰富的资本资源及投资经验。陈女士及金先生均曾为承德御室之股东。认购人及其最终实益拥有人均为独立第三方。
