智通财经APP讯，金山软件(03888)发布公告，有关(其中包括)向认购人发行31亿港元2025年到期的0.625 厘可换股债券的相关事宜。本公司已接获未偿还可换股债券若干持有人(债券持有人)就行使未偿还可换股债券附带的换股权发出的转换通知。
于2025年4月11日及2025年4月14日，本公司于接获债券持有人的转换通知后，分别向债券持有人发行总计117.92万股股份及980.73万股股份(该等转换)。有关可换股债券占可换股债券初始本金总额约12.32%，已根据可换股债券的条款及条件，按当时经调整换股价每股34.77港元转换及注销。就该等转换所发行的股份分别占紧接该等转换前本公司已发行股份总额约0.82%，以及于该等转换后经配发及发行1098.65万股股份扩大的本公司已发行股份总额约0.82%。
于注销已转换可换股债券后，可换股债券尚未偿还本金额为27.18亿港元，占可换股债券初始本金额约87.68%。
