　　安徽皖通高速公路（00995）发布公告，于2025年4月11日，公司与交控香港公司（根据香港上市规则为公司的关连人士）订立认购协议，据此，认购方已有条件同意认购，而公司已有条件同意以认购价每股认购股份10.45港元配发及发行总计4998.2万股认购股份（即新H股），但须符合并根据认购协议所载条款及条件。

　　认购价较4月11日收市价每股11.00港元折让约5.00%。认购股份占于本公告日期公司H股总数约10.14%及现有已发行股本3.01%；及按经配发及发行认购股份扩大后于本公告日期已发行股份数目计算，分别占公司H股总数约9.20%及已发行股本2.93%。

　　公司拟将股份认购事项的所得款项：50%用于进一步投资及扩充其主营业务（即高速公路投资及运营）；50%用作不时向H股股东派发现金股息的资金。
