智通财经APP讯，中国秦发(00866)发布公告，于2025年3月28日(交易时段后)，该等卖方与该等买方天际能源投资有限公司及香港秦发贸易有限公司(公司全资附属公司)订立该等买卖协议，据此，卖方1PT Cakrawala Karya Energi已同意出售，而买方1已同意购买目标公司PT Widyanusa Mandiri 99%的股权，总现金代价为1402.1亿印尼盾(相当于约850万美元);及卖方2Asrullah S已同意出售，而买方2已同意购买目标公司1%的股权，总现金代价为5000万印尼盾(相当于约3000美元)。于完成后，公司将通过该等买方拥有目标公司100%的股权。
完成该等收购事项已于2025年4月17日落实。于完成后及于本公布日期，拥有SDE 25%股权的目标公司已成为公司间接全资附属公司。SDE余下75%的股权由公司60%非全资附属公司力远间接持有。因此，于完成后，公司间接拥有SDE 70%的实际股权。于完成后，目标公司为公司附属公司，而目标集团的财务业绩将于集团的财务报表综合入账。
