智通财经APP讯，中国港能(00931)发布公告，于2025年4月17日(联交所交易时段后)，公司(作为发行人)与简博士(作为认购人)订立贷款资本化协议，据此，订约方有条件同意，认购人将认购而公司按资本化价格每股资本化股份0.195港元配发及发行合共7.18亿股资本化股份。认购人应付的所有资本化股份价格将须于完成后，透过资本化及抵销偿还金额1.4亿港元的方式结付。
假设已发行股份总数于本公告日期至配发及发行资本化股份期间并无变动，资本化股份相当于本公告日期已发行股份总数约10.76%;及经配发及发行资本化股份扩大的已发行股份总数约9.71%。
公司将向联交所申请批准资本化股份上市及买卖。
