4月17日晚间消息，同程旅行和万达酒店发展发布公告，同程旅行已与万达酒店发展就收购其全资子公司万达酒店管理（香港）有限公司100%股权事宜达成协议，交易对价约为人民币24.9亿元，估值倍数相当于其2023年度经调整EBITDA的9.5倍。万达酒店管理公司为万达酒店发展旗下的轻资产板块，2024年营收为8.9亿港元。

　　对此，万达方面回应称，万达酒店发展转让旗下万达酒店管理（香港）有限公司股权，按香港联交所相关规则，仍需经过上市公司股东大会审批同意后方可生效。交易带来的资金如获批可用于向全体股东分红，将有助于万达集团去杠杆、减负债，优化资产负债结构，确保履行企业社会责任。近年来，万达通过出售万达广场资产、推进珠海商管重组等措施，显著改善资产负债结构。迄今为止，万达所有公开债均如期兑付，目前，公司仅剩余极少公开债务。

　　万达方面还表示，本次交易仅涉及酒店管理业务的转让，现有万达自持的酒店物业资产仍将由万达集团继续持有。万达也将与同程旅行持续深化合作，通过资源共享与优势互补，在文旅项目运营管理及市场拓展等领域开展协同，实现双方共赢发展。

　　资料显示，万达酒店管理（香港）有限公司业务范围包含酒店管理、酒店设计及建设等，拥有万达瑞华、万达文华、万达嘉华、万达锦华、万达颐华、万达安柏、万达美华、万达悦华、万达安悦九大品牌。截至2024年底，公司在营酒店共计204家，客房总量超过40200间，另有376家酒店已签约待开业。
