金吾财讯 | 金山云(03896)公布，公司将(i)以每股美国存托股11.27美元向承销商发行及出售合共1730万股美国存托股(代表2.595亿股股份)；及(ii)以每股5.83港元向承销商发行及出售1800万股发售股份。公司亦授予承销商30日期权，以每股美国存托股11.27美元购买最多277.5万股增发美国存托股(代表4162.5万股股份)。
每股发售股份发售价5.83港元，相等于每股美国存托股11.27美元，即美国存托股发售价，较：(i)纳斯达克于4月15日(美国东部时间)每股美国存托股收市价13.2美元折让约14.62%；(ii)联交所于2025年4月16日(香港时间)每股收市价6.39港元折让约8.76%。
另外，公司将向控股股东金山软件发行6937.5万股新股份，每股认购价5.83港元。
发行美国存托股及增发美国存托股所得款项总额预期介乎1.95亿美元(约15.12亿港元)(假设期权未获行使)至2.26亿美元(约17.55亿港元)(假设期权获悉数行使)，净额预期介乎1.87亿美元(约14.52亿港元)至2.17亿美元(约16.85亿港元)。预期发行发售股份所得款项总额为1.05亿港元，净额预计为1.01亿港元。发行认购股份所得款项总额预计为4.04亿港元。
公司拟将发售及认购事项的估计所得款项净额用于(i)投资于升级及扩充基础设施；(ii)投资于技术及产品开发；及(iii)一般企业及营运资金用途。
