重庆机电附属公司世玛德公司终止合并入账
4月24日，重庆机电（02722）发布公告，本公司附属公司重庆世玛德智能制造有限公司（世玛德公司）决定终止综合入账。此举是为了促进世玛德公司的高质量发展，并应其他股东要求与协商一致，优化其治理结构。自董事会批准之日起，重庆机床（集团）有限责任公司（本公司全资附属公司）将世玛德公司移出合并报表范围，但持股比例保持不变。
根据公告，机床集团合并层面预计在2025年收入将减少3328万元，利润总额减少35万元，世玛德公司的收入占本集团截至2024年12月31日止年度的收入约0.5%。尽管终止合并入账将导致世玛德公司的资产、负债等不再合并入账，但董事会预计此变动对本集团截至2025年6月30日止6个月的综合财务报表不会产生重大影响。
此外，机床集团与世玛德公司已就自动线、料仓等货物达成交易意向，涉及交易金额约1300万元，已签订合同金额约700万元。公告还提到，核数师未向本公司告知有关于终止合并入账的任何潜在审核保留意见，董事会认为此变动不会对本集团的营运、现金流量及财务状况造成重大影响。
