智通财经APP讯，开明投资(00768)及要约人Knight Sky Holdings Limited联合公布，要约人已完成向Kingswell Holdings Group Limited购买1.92亿股股份，相当于公司于本联合公布的已发行股本总额约15.10%，代价为576万港元，相当于每股销售股份0.03港元。
完成后，要约人及要约人一致行动人士于公司已发行股本总额约41.84%拥有权益。根据收购守则规则26.1，要约人须就全部已发行股份(要约人及要约人一致行动人士已拥有及╱或同意将予收购者除外)提出强制有条件现金要约。 每股要约股份现金0.03港元，较于最后交易日在联交所所报的收市价每股股份0.028港元溢价约7.14%。
在要约获全面接纳的情况下，要约人就要约应付的最高代价约为2219.2万港元。要约的总价值约为2219.2万港元。
此外，公司已向联交所申请自2025年4月24日(星期四)上午九时正起恢复股份在联交所买卖。
于本联合公布日期，要约人的唯一董事及股东为郑启明先生，彼亦为一项信托的其中一位酌情受益人，该信托的资产包括Fung Fai Growth Limited所有已发行股本。
