智通财经APP讯，宝发控股(08532)发布公告，于2025年4月24日(交易时段后)，买方Faithful Galaxy Investment Limited(公司间接全资附属公司)与卖方订立买卖协议，据此，买方有条件同意购买而卖方有条件同意出售销售股份(10,000股目标公司Kings Construction & Decoration Company Limited的普通股)，相当于目标公司全部已发行股份，总代价为750万港元。于完成后，目标公司的全部股权将由买方拥有，因此，目标公司将成为公司的间接全资附属公司。代价(即750万港元)将由买方促使公司向卖方发行本金总额为750万港元的可换股债券而支付。
公告称，目标公司为一间在香港拥有悠久历史及丰富建筑业务经验的公司，目前为认可小型工程承建商。预期可借收购事项依托目标公司的丰富经验、资源及网络，以进一步巩固集团于香港建筑市场的地位及市场影响力。收购事项符合集团的策略，并有助扩大集团的现有建筑业务。
