智通财经APP讯，重庆机电(02722)发布公告，为了进一步促进重庆世玛德智能制造有限公司(即公司附属公司，以下简称“世玛德公司”)高质量发展，应其他股东要求并协商一致，决定对其治理结构进行优化。
通过对世玛德公司《公司章程》中涉及其董事会及股东大会决策机制的调整，重庆机床(集团)有限责任公司(即公司全资附属公司，以下简称“机床集团”)将不再对世玛德公司拥有决策控制权。自公司董事会批准之日后，机床集团将世玛德公司移出合并报表范围，但持股比例仍保持不变。
上述调整是各方股东基于世玛德公司未来发展需要，从合资公司利益最大化角度，经过审慎考量和友好协商，最终达成的一致决定。机床集团将继续严格按照《公司章程》和国有资产监管要求，积极履行股东职权，维护股东权益。
世玛德公司成立于2016年4月26日，注册资本为人民币1亿元，实缴资本为人民币1亿元，现股东及持股比例如下：机床集团：40% ；KAPP GmbH & Co. KG(KAPP公司)：30%；浙江双环传动机械股份有限公司(浙江双环)：30%。
世玛德公司主要生产机加类智能自动生产线、新能源汽车齿轮清洗、啮合检查自动检测线、汽车发动机缸体缸盖智能加工生产线、汽车零部件装配检测线等产品。
根据世玛德公司2025年的预算，2025年机床集团合并层面预计收入减少人民币3328万元，利润总额减少人民币35万元。世玛德公司的收入占集团截至2024年12月31日止年度的收入约0.5%。
