中国石油化工股份(00386)公布，于2025年4月28日，该公司、福建炼化及AAS签署了《合资协议》。根据《合资协议》，该公司及公司附属公司福建炼化将与AAS(独立第三方)共同出资成立合资公司。合资公司注册资本为人民币28,800,906,667元，公司及福建炼化将分别以现金方式出资人民币7,200,226,667元及人民币14,400,453,334元，占合资公司注册资本的25%及50%;AAS将以现金方式出资人民币7,200,226,667元，占合资公司注册资本的25%。

公告称，本次交易通过接纳AAS作为合作伙伴，有助于古雷二期项目保障原油资源供应，优化融资，整合双方技术优势，提高区域资源统筹优化水平，有利于提升公司炼化一体化运营水平和区域竞争力。
