联想控股(03396.HK) 公布，旗下间接全资附属公司佳沃品鲜、间接非全资附属公司佳沃食品于周四(24日)，与北京佳沃臻诚科技订立股权转让协议。据悉，佳沃品鲜同意向佳沃食品收购北京佳沃臻诚科技100%股权，总对价为1元人民币。
据介绍，北京佳沃臻诚科技主要从事销售食品；技术开发、技术转让、技术咨询、技术服务、技术推广；销售食用农产品；货物进出口、技术进出口、代理进出口等业务。截至周五(25日)，佳沃食品持有其100%的股权。
联想控股解释，上述交易完成后，佳沃食品资产负债结构将得到改善，资产质量将得到优化，有助于提升其净资产水平及持续发展能力，可为佳沃食品未来经营改善赢得空间，联想控股作为佳沃食品之控股股东亦将受益于佳沃食品财务状况之改善。
同时佳沃集团收购北京佳沃臻诚科技后，将与其旗下其他动物蛋白业务进行整合协同，力争打造新的业务增长点，未来联想控股亦将考虑关于Australis Seafoods S.A.的其他潜在战略选择，包括择机引入新的战略投资人以补充其营运资金等，为其全面释放产能做准备。(js/w)
