智通财经APP讯，希教国际控股(01765)发布公告，于2025年4月24日，买方湖南中协教育管理集团有限公司与卖方四川署瑞企业管理服务有限公司订立股权转让协议，卖方已有条件同意转让而买方已有条件同意以总估值人民币2.37亿元收购目标公司80%股权及其附属实体权益，其中包括(i)卖方取得转让代价及收回股东债务暂定为人民币2.27亿元;及(ii)其余债务暂定为人民币1000万元，惟可根据股权转让协议的条款及条件进行调整。
目标公司南昌东美教育科技有限公司为一家于中国注册成立的有限责任公司，并由集团持有80%股权，主要从事教育管理及教育行业投资。
公告称，目标公司及其附属实体现有场地和条件不足以满足其业务运营，因此需要更多资金投入。鉴于公司目前情况，若要提供足够资金就目标公司发展作进一步投入，将对公司构成负担。为保障目标公司及其附属实体的健康发展，公司基于负责态度决定进行本次出售行为。
