Deliveroo said its board has decided to hold talks with DoorDash related to a potential offer
U.K.-based delivery platform Deliveroo said on Friday that DoorDash Inc. had put forward a proposal to buy it, a move that would mark the latest expansion abroad for DoorDash and further industry consolidation.
Deliveroo said that it received the proposal on April 5 and that DoorDash $(DASH)$ was interested in putting up cash to buy the company at GBP1.80 a share, or $2.40. The offer valued Deliveroo at $3.6 billion, according to the Wall Street Journal.
DoorDash declined to comment. The stock finished 0.3% higher on Friday and is up around 42% over the past 12 months.
Deliveroo (UK:ROO) (DROOF) said its board has indicated to DoorDash that "should a firm offer be made on the financial terms set out above, it would be minded to recommend such an offer to Deliveroo shareholders." It said the Deliveroo board has decided to hold talks with DoorDash related to the potential offer and has provided the food-delivery platform with "access to due diligence."
Deliveroo said an offer wasn't guaranteed. DoorDash has until 5 p.m. London time on May 23 to make an offer. Deliveroo's announcement, it said, followed "recent press speculation."
Last year, Reuters reported that DoorDash held talks with Deliveroo over the possibility of taking over the company. However, the outlet reported that talks stalled after a "disagreement on valuation."
DoorDash in recent years has tried to broaden its reach into other countries and to expand its services beyond food delivery. According to its most recent annual report, its marketplaces run in more than 30 countries.
DoorDash sent the proposal as higher prices and anxieties over a weaker economy force many consumers to rethink what they spend on restaurants. Any deal would also represent the latest tie-up in the competitive, often discount-heavy universe of food-delivery apps.
DoorDash in 2022 bought Finnish delivery provider Wolt in a deal worth more than $8 billion. In 2019, it bought Caviar, a food-delivery platform focused on higher-end fare.
Elsewhere in recent years, Uber Technologies Inc. $(UBER)$ acquired Postmates, and Just Eat Takeaway bought Grubhub and then sold it for far less.
