德国医疗保健和材料集团默克（Merck KGaA）周一表示，已达成协议，将以39亿美元的股权价值收购美国生物技术公司SpringWorks Therapeutics，以加强其抗癌药物业务。
默克表示，扣除SpringWorks持有的现金，每股47美元的现金收购价格代表约39亿美元的股权价值，相当于34亿美元（30亿欧元）的企业价值。
默克上周表示，两家公司就每股约47美元的报价进行了后期谈判。
默克在一份声明中表示，这笔交易将由可用现金和新债务提供资金，预计将增加默克2027年经特殊项目调整后的每股盈利。该公司补充称，其仍有能力寻求更大规模的交易。
SpringWorks总部位于美国康涅狄格州的斯坦福德，于2019年在纽约上市。该公司开发治疗癌症和罕见肿瘤的药物，目前在市场上有两种产品：用于治疗硬纤维瘤的Ogsiveo，2024年销售额为1.72亿美元，以及Gomekli，今年2月获批用于治疗以神经鞘肿瘤为特征的NF1-PN）。
