希教国际(01765.HK) 公布，旗下全资附属公司四川署瑞企业管理服务于周四(24日)，与湖南中协教育管理集团订立股权转让协议。
协议列明，四川署瑞企业管理服务同意以总估值2.37亿元人民币(下同)，向湖南中协教育管理集团转让“南昌东美教育科技”80%股权及其附属实体权益。其中包括，四川署瑞企业管理服务取得转让代价及收回股东债务暂定为2.27亿元；以及其余债务暂定为1,000万元。
预期于出售事项完成后，希教国际将自出售事项录得未经审核亏损约637万元。希教国际拟将出售事项所得款项净额用于改善其现有学校的营运条件及满足基本营运条件的需求。
据披露，南昌东美教育科技由希教国际持有80%股权，主要从事教育管理及教育行业投资。出售事项完成后，南昌东美教育科技将不再为希教国际的非全资附属，其财务业绩、资产及负债将不再并入该集团的综合财务报表。(js/j)(港股报价延迟最少十五分钟。)
