中国燃气成立合资公司进军生物质能源领域
财中社12月8日电中国燃气（00384）发布公告，宣布于2024年12月6日成立合资公司，参与方包括公司的全资附属公司智慧能源、亮创及Dragon Media。合资公司将专注于生物质能源相关项目的投资、开发与运营，预计将成为公司的附属公司，其财务业绩将纳入公司集团的财务报表。
根据合资协议，合资公司的初步认购金额为500万元，其中智慧能源认购300万元，持股比例60%；亮创认购150万元，持股比例30%；Dragon Media认购50万元，持股比例10%。合资公司合伙人需在2029年12月1日前或合资公司要求后的30个工作日内缴纳各自的出资。合资公司的董事会将由七名董事组成，智慧能源提名四名，亮创提名两名，Dragon Media提名一名，董事会的决策需大多数票通过。
此次合资公司成立旨在推动公司在新能源领域的快速发展，利用生物质能源的可再生特性及低碳排放优势，符合全球绿色能源市场的发展趋势。董事会认为此举符合公司的整体利益，并将以公司内部资源进行初始股份的认购。
